Terms of Service

By accessing or using Kitfo (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Ereko Labs, trading as Kitfo (“we”, “our”, “us”), the company operating Kitfo.

You must be at least 13 years old to use Kitfo. By using the Service, you represent that you meet this requirement. If you are using Kitfo on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

You are responsible for maintaining the security of your account and all activities that occur under it. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your credentials confidential
• Notify us immediately of any unauthorised access

One person or legal entity may not maintain more than one free account. Username squatting is prohibited.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of others
• Upload or share content that is illegal, harmful, threatening, abusive, or harassing
• Distribute malware or other harmful code
• Spam or send unsolicited communications
• Scrape, crawl, or index the Service without written permission
• Attempt to circumvent security measures
• Impersonate another person or entity

You retain full ownership of all content you upload to Kitfo — including videos, cuts, scripts, documents, images, and posts. By uploading content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, display, and transmit your content solely as necessary to provide the Service to you.

You represent that you have all necessary rights to the content you upload and that your content does not violate any third party's rights.

We do not share your content outside the platform. Your uploaded videos, cuts, reels, self-tapes, and files are kept private unless you explicitly choose to share them — by generating a share link, making your profile public, attaching content to a Stage post, or submitting to a festival. We do not distribute, license, sell, or otherwise transfer your content to any third party without your consent.

We do not use your content to train AI or machine learning models. Your videos, scripts, self-tapes, documents, and any other content you upload or create on Kitfo is not used to train, fine-tune, or evaluate any artificial intelligence or machine learning system — by us or by any third party we engage. This applies regardless of whether your content is public or private. If we ever wish to change this, we will ask for your explicit opt-in consent first. It will never happen silently.

We may remove content that violates these Terms or our Community Guidelines at our discretion.

Anonymous content: Kitfo supports pseudonymous posting in certain areas of the platform. Anonymous content is hidden from other users but remains associated with your account in our systems. You are fully responsible for anonymous content posted from your account. Anonymity does not exempt you from these Terms, our Community Guidelines, or applicable law.

When you share a document, script, video cut, or playlist on Kitfo, you control who can access it through the settings you configure — including link expiry, active/inactive toggles, and password protection where available. You are solely responsible for deciding with whom you share your work and under what conditions.

Platform-facilitated NDAs. Content owners may require viewers to sign a confidentiality agreement before accessing cuts, documents, or other protected content. When a viewer agrees, Kitfo records their full name (as typed), IP address, and timestamp as a neutral third party. These records are available to the content owner and may be used as evidence in a legal dispute. The confidentiality agreement is between the content owner and the viewer — Kitfo is not a party to that agreement. Enforcing the agreement in a legal proceeding is solely the responsibility of the content owner. The agreement covers the specific content shared and remains binding on and off the Kitfo platform for 2 years from the date of acceptance, or until the content becomes publicly available through no act of the viewer.

By enabling the NDA feature on your content, you represent that you have a legitimate confidentiality interest in that content and you accept responsibility for any claims arising from the use of that feature.

We do not sell your data. Kitfo does not sell, rent, or trade your personal data or your uploaded content to any third party. If we ever change this practice, we will provide clear advance notice and obtain your explicit consent before doing so.

When you submit a film project to a festival listed on Kitfo:

• You grant the festival's organiser a limited right to view the content you have submitted, solely for the purpose of evaluating your entry. This access is restricted to what you explicitly submit and does not extend to your other content on Kitfo.
• The festival organiser's own submission terms govern how they handle your submitted work within the context of their festival. You should review those terms before submitting. Kitfo is not a party to that relationship and is not responsible for the organiser's decisions or conduct.
• Kitfo does not transfer ownership of your content to festival organisers, and does not grant them any rights beyond viewing submitted content within the platform for evaluation purposes.
• You may withdraw a submission at any time before it has been formally accepted by the organiser. Withdrawal removes the organiser's access to your submitted content.

The Kitfo platform, including its design, code, and brand assets, is owned by Ereko Labs and protected by intellectual property laws. You may not copy, modify, or create derivative works of the platform without our written consent.

The Service is provided “as is” without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. Your use of the Service is at your own risk.

To the maximum extent permitted by law, Ereko Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to Kitfo in the 12 months preceding the claim.

Kitfo respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). We will respond to notices of alleged copyright infringement that comply with the DMCA.

Reporting infringement: If you believe your copyrighted work has been reproduced on Kitfo in a way that constitutes infringement, send a written notice to our designated agent containing:

• Identification of the copyrighted work claimed to have been infringed
• Identification of the allegedly infringing material and its location on the platform (URL)
• Your contact information (name, address, phone number, email)
• A statement that you have a good faith belief that the use is not authorised by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on their behalf
• Your physical or electronic signature

Counter-notices: If you believe your content was removed in error, you may send a counter-notice to our designated agent. We will reinstate the content within 10–14 business days unless the claimant files a court action.

Repeat infringers will have their accounts terminated in appropriate circumstances.

Subscriptions: Paid plans are billed on the cycle you select (monthly or annual) and renew automatically until cancelled. You may cancel at any time from your account settings; access continues until the end of the current billing period.

Refund policy: We do not provide refunds for partial subscription periods. All spend on boosted content, Signals, and promotional placements is non-refundable once the boost has been activated — this includes cases where the boosted content is later removed for a Terms violation. If you believe you were charged in error, contact us at billing@kitfo.co within 14 days and we will review your case. Decisions are made at our reasonable discretion.

Price changes: We may change subscription prices with at least 30 days' notice. If you do not cancel before the notice period ends, the new price applies on your next renewal.

Taxes: Prices may be exclusive of applicable taxes. You are responsible for any sales tax, VAT, or similar charges applicable in your jurisdiction.

We may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time from your account settings.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Connecticut and the United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Connecticut, and you consent to personal jurisdiction in those courts.

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance. We will notify you of material changes by email or platform notice.
